Terms of Use

These Terms govern access to and use of Trad AI, including AI-assisted translation, token-based usage, subscriptions, billing, data processing and acceptable use.

These Terms of Use (“Terms”) govern access to and use of Trad AI, including our website, translation interface, account features, subscription plans, AI-assisted translation workflows, translation memory generation, file processing and related services (together, the “Service”).

The Service is operated by Trad AI (“Trad AI”, “we”, “us” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of these Terms

By creating an account, uploading content, submitting text for translation, purchasing a subscription, using a trial, using pay-as-you-go features or otherwise accessing the Service, you confirm that you have read, understood and accepted these Terms. If you use the Service on behalf of a company, organisation or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.

2. The Service

Trad AI provides an AI-assisted translation platform designed to support translation, post-editing workflows, wide-context translation, terminology consistency and translation memory generation. The Service may process text, documents, formatting information, language settings, prompts, instructions, translation memories, glossaries and other materials submitted by users. The Service may use third-party AI models and APIs, including models provided by OpenAI or other providers. Depending on your plan and configuration, AI processing may be provided through Trad AI-managed infrastructure, a user-provided API key, or an enterprise deployment agreed separately. The Service is intended to assist translation workflows. It is not a substitute for qualified human review where accuracy, legal validity, professional certification, regulatory compliance or specialist terminology is required.

3. Accounts and access

You may need to create an account to use certain features of the Service. You must provide accurate, current and complete account information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly if you suspect unauthorised access to your account. For Team or Enterprise workspaces, the workspace owner or administrator is responsible for managing users, permissions, access rights and workspace activity.

4. Subscription plans, token allowances and pay-as-you-go usage

Paid plans may include monthly token allowances. A token is a technical unit used by AI systems to process text, instructions, files and generated output. Token counts are not equivalent to word counts, character counts, page counts or file size. Token usage may include input text, output text, system instructions, context, document structure, formatting-related processing, translation memory generation, retries, quality-control steps and other AI-processing operations required to provide the Service. The token allowance included in your plan is stated on the pricing page or in your order confirmation. Certain plans may include a defined monthly token allowance, and additional usage may be available on a pay-as-you-go basis. Team plan usage is shared across the relevant workspace and may be consumed by any authorised workspace user. Unless expressly stated otherwise, unused tokens do not roll over to the next billing period, token allowances reset at the beginning of each billing period, pay-as-you-go usage may be charged in addition to the subscription fee, usage records generated by the Service are the basis for calculating token consumption, and estimated token usage shown before processing is indicative only and may differ from actual usage. We may reject, pause or limit processing if your included allowance is exhausted, pay-as-you-go usage is disabled, payment fails, fraud is suspected, technical limits are reached or continued processing would create security, compliance or operational risk. You must not attempt to bypass token limits, plan restrictions, usage controls, billing controls, rate limits, workspace limits, security controls or technical safeguards.

5. Payments, billing and renewals

Subscription fees, included allowances, billing cycles and any applicable pay-as-you-go rates are shown on the pricing page, in your account or in a separate order confirmation. Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled. You authorise us or our payment processor to charge applicable subscription fees, pay-as-you-go fees, taxes and other charges using your selected payment method. You are responsible for ensuring that payment details remain valid and that payments are made on time. Failure to pay may result in suspension, limitation or termination of access to the Service. We may update pricing, plan features, included token allowances or pay-as-you-go rates from time to time. Where required by law or where changes materially affect an existing paid subscription, we will provide appropriate notice.

6. Customer Content and generated translations

“Customer Content” means text, files, documents, data, instructions, prompts, glossaries, translation memories, terminology lists and other materials that you submit to the Service. You retain all rights in your Customer Content. You grant Trad AI a limited, non-exclusive, worldwide, royalty-free licence to access, process, transmit, temporarily store and otherwise use Customer Content solely as necessary to provide, secure, support and improve the functionality of the Service in accordance with these Terms and our Privacy Policy. Subject to applicable law and third-party provider terms, you own the translations and other outputs generated for you through the Service. Trad AI does not claim ownership of your Customer Content or generated translations. You are responsible for ensuring that you have all necessary rights, licences, permissions and lawful bases to submit Customer Content to the Service and to create, use, edit, publish, distribute or commercialise translations generated from it. You must not submit Customer Content that infringes intellectual property rights, violates privacy rights, breaches confidentiality obligations, contains unlawful material or violates these Terms.

7. AI-assisted translation, accuracy and human review

Translations generated through Trad AI are AI-assisted machine translation outputs. AI systems may produce inaccurate, incomplete, misleading, inconsistent or contextually inappropriate output. You are responsible for reviewing, verifying, editing and approving all generated translations before relying on them or providing them to third parties. Human review is especially important where translations are used in legal, medical, financial, regulatory, immigration, employment, public-sector, contractual, certified, safety-critical or other high-impact contexts. You must not present AI-generated or AI-assisted translations as human-certified, sworn, official or professionally approved translations unless they have been reviewed and approved by a suitably qualified human translator, reviewer or authorised professional. Trad AI is designed to support compliance with applicable AI transparency, data protection and risk-management requirements, including requirements under the EU AI Act where applicable. Trad AI does not use the Service to make automated decisions about individuals that produce legal or similarly significant effects.

8. Data protection and privacy

Our processing of personal data is described in our Privacy Policy and Cookie Policy. Trad AI does not use Customer Content to train its own general AI models. Where third-party AI providers process Customer Content, such processing is governed by the applicable provider terms, data processing arrangements and the configuration used for the relevant plan. Trad AI does not permanently store Customer Content after completion of the translation task unless this is necessary to provide a feature requested by you, comply with law, maintain security, investigate abuse, resolve a support request, or where you have explicitly enabled storage. Trad AI may retain account data, billing data, subscription records, token usage data, workspace metadata, technical logs, security logs and support records as necessary for account administration, billing, fraud prevention, security, service reliability, legal compliance and support.

9. Data Processing Terms

This section applies where Trad AI processes personal data contained in Customer Content on behalf of a business customer. For Customer Content submitted by a business customer, the customer is generally the controller of personal data and Trad AI acts as processor, unless otherwise agreed in writing or required by applicable law. Trad AI will process such personal data only to provide the Service, in accordance with documented instructions from the customer, as necessary to maintain security and prevent abuse, and as required by applicable law. Trad AI will implement appropriate technical and organisational measures designed to protect personal data against unauthorised access, loss, misuse, alteration or disclosure. Trad AI will ensure that personnel authorised to process personal data are subject to confidentiality obligations. Trad AI may engage subprocessors to provide hosting, AI processing, analytics, payment, email, security, support and infrastructure services. Trad AI remains responsible for using appropriate contractual safeguards with subprocessors. Where personal data is transferred outside the European Economic Area, Trad AI will use appropriate safeguards, such as adequacy decisions, Standard Contractual Clauses, data processing agreements and supplementary measures where required. Upon reasonable request, Trad AI will provide information necessary to help business customers assess compliance with applicable data protection obligations. Upon termination of the Service, Trad AI will delete or return Customer Content containing personal data in accordance with the functionality of the Service, these Terms, the Privacy Policy and applicable law.

10. Subprocessors

Trad AI may use subprocessors to provide and secure the Service. Subprocessors may include providers in the following categories: AI model providers, hosting and infrastructure providers, payment processors, analytics providers, email and communication providers, and security and monitoring providers. Trad AI currently does not use Google Ads, remarketing, advertising audiences or marketing cookies. If advertising or remarketing technologies are introduced in the future, they will be activated only after the user has provided explicit prior consent where required by law. A current list of material subprocessors may be made available on the website or upon request.

11. Cookies, analytics and consent

The website may use strictly necessary cookies and similar technologies to operate the Service, maintain sessions, secure accounts and provide core functionality. Where required by law, non-essential cookies are used only after you have given consent through the cookie banner or consent management interface. We may use Google Analytics for website performance and usage analytics, subject to user consent where required by applicable law. We do not currently use Google Ads, remarketing, advertising audiences or marketing cookies. If we introduce advertising or remarketing technologies in the future, they will be activated only after you have provided explicit prior consent where required by law. You may withdraw or change your cookie consent at any time through the cookie settings available on the website, where applicable.

12. Acceptable use

You must use the Service lawfully and responsibly. You must not use the Service for illegal, harmful, abusive, deceptive or fraudulent purposes, submit content that you do not have the right to process or translate, violate rights, attempt to reverse engineer or attack the Service, bypass limits or billing controls, use unauthorised automation, upload malware, or generate unlawful or harmful material. We may suspend or terminate access if we reasonably believe that your use violates these Terms, creates legal risk, threatens security or may harm Trad AI, users, subprocessors or third parties.

13. Intellectual property

Trad AI and its licensors retain all rights in the website, software, interfaces, design, trademarks, logos, documentation, workflows, templates and other materials forming part of the Service. These Terms do not grant you any rights in Trad AI intellectual property except the limited right to access and use the Service in accordance with these Terms. You must not copy, modify, distribute, sell, lease, reverse engineer or create derivative works based on the Service except as expressly permitted by law or authorised by us in writing.

14. Confidentiality and security

Trad AI treats Customer Content as confidential and uses it only as necessary to provide and support the Service, maintain security, comply with law and enforce these Terms. You are responsible for ensuring that your use of the Service is appropriate for the sensitivity of your content. You should not submit highly sensitive, regulated, classified or legally restricted information unless your plan, configuration and contractual arrangements are suitable for that content. No online service can guarantee absolute security. Trad AI uses reasonable technical and organisational measures designed to protect the Service, but you acknowledge that transmission and processing of data through online systems carries inherent risks.

15. Service availability and changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free or continuously available access. The Service may be unavailable or degraded due to maintenance, updates, third-party provider issues, infrastructure failures, security events, high demand, legal requirements or other factors outside our control. We may modify, suspend or discontinue features, models, integrations, plan structures, token allowances or technical configurations from time to time. Where a change materially affects paid users, we will provide notice where reasonably practicable or where required by law.

16. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Trad AI disclaims all warranties, conditions and representations, whether express, implied, statutory or otherwise, including warranties of accuracy, reliability, fitness for a particular purpose, non-infringement, merchantability, uninterrupted availability and error-free operation. Trad AI does not warrant that generated translations will be accurate, complete, legally valid, stylistically appropriate, compliant with specialist terminology requirements or suitable for any particular purpose without human review. You are solely responsible for reviewing and approving translations before use.

17. Limitation of liability

To the maximum extent permitted by law, Trad AI will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, loss of anticipated savings or loss arising from reliance on unreviewed AI-generated output. Trad AI’s total aggregate liability arising out of or in connection with the Service and these Terms will not exceed the amount paid by you to Trad AI for the Service in the three months preceding the event giving rise to the claim, unless a different amount is required by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

18. Indemnity

You agree to indemnify and hold harmless Trad AI from and against claims, losses, liabilities, damages, costs and expenses arising from your Customer Content, your use of generated translations, your breach of these Terms, your violation of applicable law, your infringement of third-party rights, or your failure to obtain necessary rights, licences, permissions or consents for Customer Content.

19. Suspension and termination

You may stop using the Service at any time. You may cancel a subscription according to the cancellation process available in your account or through the relevant payment provider. We may suspend, restrict or terminate your access if you breach these Terms, payment fails, your use creates legal, security or operational risk, you attempt to bypass limits or safeguards, we are required to do so by law, or a third-party provider restricts access to required infrastructure or models. After termination, your right to use the Service ends. Sections that by their nature should survive termination will continue to apply, including provisions on payment, Customer Content responsibility, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, governing law and dispute resolution.

20. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Service, pricing, token-based usage, AI models, legal requirements, data processing practices or business operations. The updated version will be posted on the website with a revised effective date. Where required by law or where changes materially affect paid users, we will provide appropriate notice. Your continued use of the Service after the effective date of updated Terms means that you accept the updated Terms.

21. Governing law and disputes

These Terms are governed by the laws stated in the legal details of Trad AI or in the applicable order form, without prejudice to any mandatory consumer protection rights that may apply. Before starting formal proceedings, you agree to contact us first and attempt to resolve the dispute informally. If you are a consumer in a jurisdiction where mandatory local law applies, nothing in these Terms limits your rights under that law.
